These Terms of Use ("Terms") govern your access to and use of the Give.Gives websites, apps, APIs, communications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

1. About Give.Gives

Give.Gives is a platform that supports circular giving, item drop-off, in-person pickup, resale, and impact allocation involving users, brands, locations, organizations, and campaigns.

Give.Gives provides a platform and related tools. Unless expressly stated otherwise, Give.Gives is not the manufacturer of listed items, is not the carrier for deliveries or pickups, and does not independently guarantee the condition, safety, legality, authenticity, quality, or fitness of items listed or exchanged through the Services.

Item availability, pickup timing, listing status, pricing, and impact routing may change over time based on platform rules, brand or location operations, campaign status, policy enforcement, inventory conditions, or legal and operational requirements.

Give.Gives may edit, standardize, moderate, or structure submitted content, including through AI Features or administrative review, to support platform operations and safety.

6. Purchases, Pickup, and Refunds

Purchases made through the Services may be subject to availability, pickup conditions, payment verification, fraud screening, operational restrictions, and other requirements.

You are responsible for reviewing item details, pickup instructions, timing requirements, and any location-specific conditions before completing a purchase.

Refund eligibility, timing, and method may depend on applicable law, payment processor requirements, fraud review, platform policy, and the facts of the transaction.

We may cancel, delay, or refuse transactions where necessary for safety, fraud prevention, policy enforcement, inventory integrity, legal compliance, or operational reasons.

Payments may be processed by third-party payment providers. By making a purchase or other payment through the Services, you authorize the applicable payment provider to charge your selected payment method.

You agree to provide current, complete, and accurate payment and billing information and to pay all charges, taxes, and applicable fees associated with your transaction.

The Services may include AI-powered tools and workflows, including image review, content generation, story generation, rewriting, categorization support, and address normalization.

We may investigate conduct, submissions, transactions, or accounts and may take actions we consider appropriate, including content removal, listing changes, transaction holds, refunds, warnings, account restrictions, or termination.

We may do so to protect users, brands, locations, organizations, campaigns, Give.Gives, or the public, and to maintain platform safety, trust, legal compliance, and operational integrity.

The Services may rely on or link to third-party services, such as payment providers, cloud storage, communications tools, maps, location services, or AI providers.

We are not responsible for third-party services, products, or websites, and your use of them may be governed by their own terms and privacy policies.

11. Intellectual Property

The Services, including software, designs, trademarks, logos, text, graphics, and other platform content other than User Content, are owned by Give.Gives or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms or by law, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, transmit, sell, license, or exploit any part of the Services without prior written permission.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIVES.GIVES DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, GIVES.GIVES DOES NOT WARRANT THAT:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF GIVES.GIVES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

To the extent permitted by law, any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief where appropriate.
