Brand Terms
Overview
These Brand Terms describe the general conditions for a brand joining Give.Gives and operating one or more venues through the platform.
Give.Gives uses a Brand - Venue model:
A Brand is the operating and settlement entity
A Brand may manage one or more venues
All settlement is handled at the Brand level
Submission of an application does not guarantee approval. Give.Gives may accept, reject, defer, or request additional information at its discretion.
Eligibility
To join Give.Gives as a Brand, the applicant should:
Be authorized to represent the brand or operating entity
Provide accurate and complete business information
Be able to operate one or more real physical venues
Use venues that are real, physical, and suitable for local display and sale rather than purely virtual or non-operational arrangements
Operate in a manner that complies with applicable United States law and relevant state-level legal requirements
Be willing to comply with platform, operational, and compliance requirements
Brand Responsibilities
Approved Brands are responsible for:
Maintaining accurate brand and venue information
Ensuring venues can receive, display, and support item pickup or purchase
Promptly updating account, operator, venue, and contact details when personnel or responsibilities change
Managing staff readiness and venue operations
Complying with applicable local laws, safety rules, and intellectual property requirements
Providing valid settlement and payout information when requested
Checking for prohibited, illegal, unsafe, or otherwise unhealthy items or materials at the Brand and venue level, even where Give.Gives also uses AI-based review or prohibited-item screening
Venue Management
Each Brand may manage multiple venues under one account. The Brand is responsible for the conduct and operating quality of all venues connected to its account.
Give.Gives may require a Brand to update, suspend, or correct venue information where necessary to protect customer experience, operational quality, or platform integrity.
Each venue on Give.Gives is also subject to a mandatory item markdown cycle. The markdown cycle is configured at the venue level, cannot be disabled, defaults to 7 days, reduces the item price by 50% at each cycle, and applies until the item reaches a minimum price floor of $1. Brand partners may not disable, bypass, or override this rule except through platform-supported configuration where expressly permitted.
Financial Structure
Give.Gives is committed to financial transparency.
Our current platform operating fee is fixed at 12% of each transaction, before tax.
The remaining amount is allocated according to the active brand share and charitable allocation structure in effect at the time of transaction. Give.Gives may update allocation rules or settlement procedures with notice where appropriate.
Payments, Tax, And Reporting
Give.Gives processes platform transactions through Stripe and handles platform-side payment operations directly.
Brand partners are not required to participate in the platform's payment processing workflow for customer transactions handled through Give.Gives.
Give.Gives may support settlement to a personal bank account where the applicant is participating as an individual and such payout setup is acceptable under the platform's payment and verification requirements.
However, if the applicant is applying or operating as a Brand, company, business entity, organization, or other formal operating structure, the applicant must provide a valid bank account in the name of that entity or its permitted business name. A personal bank account is not sufficient for entity-based participation.
Give.Gives is responsible for its own platform-side tax handling, reporting, and filing obligations relating to its own operations, as applicable.
However, each Brand remains solely responsible for its own tax, accounting, reporting, filing, and legal obligations under applicable law, including any obligations relating to amounts received by that Brand through or in connection with the platform.
Nothing in these Terms should be interpreted as tax, legal, or accounting advice to any Brand.
Once settlement has been made in accordance with Give.Gives platform records, procedures, and payout instructions, Give.Gives has no further payment obligation with respect to that settled amount, except as required by applicable law or in the case of platform error.
Any tax, accounting, reporting, filing, audit, or legal issue arising on the Brand side after settlement remains the Brand's sole responsibility and does not create any continuing payment, reimbursement, indemnity, or support obligation for Give.Gives, except where required by applicable law.
Give.Gives may also update platform fees, settlement procedures, payout timing, or related commercial rules from time to time. Continued participation after such changes may be treated as acceptance of the updated structure.
Brand Account Access
A Brand receives access to tools relevant to its own operations, which may include:
Brand profile management
Venue management
Item and order management
Operational materials
Relevant settlement information
Brand access is limited to the Brand's own scope and does not include platform-wide administrative control.
Brand accounts must be kept secure. Give.Gives may require password resets, suspend access, or restrict account use where there is a reasonable concern relating to unauthorized access, credential sharing, misuse, or account compromise.
Brand partners may not transfer, assign, sublicense, lend, or otherwise hand over their Give.Gives account, access rights, or cooperation status to another party without prior approval from Give.Gives.
Data, Verification, And Review Rights
Give.Gives may rely on platform records, account logs, submitted information, uploaded materials, email history, and other system evidence when reviewing compliance, operations, or disputes.
Brand information provided to the platform must remain accurate, truthful, and current. Failure to maintain accurate information may affect account status, settlement, or continued cooperation.
Give.Gives reserves the right to request additional documentation, supporting materials, or operational proof where needed for review, audit, settlement, or risk control purposes.
Give.Gives also reserves the right to conduct remote verification, request live confirmation, or require on-site verification where necessary to confirm the legitimacy, readiness, or compliance of a Brand or Venue.
Approval, Suspension, and Termination
Give.Gives may deny, suspend, restrict, or terminate participation where there is a reasonable concern relating to:
False or misleading information
Inability to operate venues reliably
Repeated customer complaints
Attempts to bypass platform workflows
Unsafe, unlawful, or non-compliant conduct
Failure to identify, remove, or appropriately handle prohibited, illegal, unsafe, or unhealthy items
Failure to provide required operational or settlement information
Tax, verification, payout, or reporting concerns
Legal, reputational, or regulatory exposure
Brand conduct, public activity, or reputation that creates a material risk to Give.Gives, users, partners, or the platform
Long-term inactivity, prolonged non-maintenance, or failure to operate the account or venues in a commercially reasonable manner
Discovery that the Brand or its venues are not lawfully operating, not genuinely physical, or otherwise not appropriate for continued participation
Any exceptional circumstance where continued cooperation is not appropriate in Give.Gives' judgment
Where appropriate, Give.Gives may request corrective action before further restrictions are applied. In urgent cases involving safety, fraud, legal exposure, or severe operational risk, restrictions may be applied immediately.
Give.Gives may also remove, block, hide, suspend, or permanently take down any item, listing, or venue-related content where it believes such action is necessary for legal, operational, safety, reputational, or platform integrity reasons.
Liability Boundaries
Give.Gives does not assume responsibility for the underlying quality, legality, condition, authenticity, suitability, or safety of donated items merely because such items appear on, are screened by, or move through the platform.
Give.Gives also does not assume responsibility for offline incidents, injuries, safety events, property damage, staff conduct, customer disputes, or other on-site issues occurring at a Brand's venue, except to the extent required by applicable law.
Give.Gives is not liable for delay, interruption, or failure caused by events beyond its reasonable control, including force majeure events, service outages, infrastructure disruption, government action, or third-party service interruption.
Content and Brand Representation
By applying or participating, the Brand authorizes Give.Gives to use its name, logo, profile description, and venue information for platform display, partnership communication, and operational presentation in connection with Give.Gives services.
The Brand represents that it has the necessary rights, permissions, and lawful authority to use and provide any brand name, logo, image, profile content, operating description, or other intellectual property submitted to Give.Gives.
Interpretation
Give.Gives reserves the right to interpret these Terms, the platform rules, and their application in specific operating circumstances, subject to applicable law.
Changes
Give.Gives may update these Brand Terms from time to time. Continued participation after such updates may be treated as acceptance of the revised terms.
